Source and Procure’s services are governed by the Terms of Service and other policies (the “Agreement”). The Terms of Service take precedence in case of conflicts.
Acceptance:
By using or registering for Source and Procure’s services, you agree to the Agreement. If you disagree, you cannot use the services.
Changes:
Source and Procure may update the Agreement. Review changes regularly. Continued use after changes indicates acceptance. Terminate the Agreement if you disagree.
Registration:
An account is required to use Source and Procure’s services. Provide necessary information during registration. Additional information may be requested. Non-compliance may lead to service rejection or termination.
Services:
Source and Procure offers:
(a) Fulfillment technology (receiving, storing, picking, packing);
(b) Shipping technology;
(c) Access to the Source and Procure Platform;
(d) Data, reports, and other content.
Access, Content, and Security
Access:
You get a non-transferable, non-sublicensable, non-exclusive license to use Source and Procure’s software solely for services. Unauthorized use is prohibited.
Your Content:
You are responsible for your content’s accuracy. Source and Procure can use it to provide services and for internal purposes.
Content Use:
Source and Procure may use your content for services, operations, communication, and marketing.
Personal Information:
Source and Procure processes personal information according to its Data Processing Agreement (DPA).
Account Security:
Maintain your account and password confidentiality. Source and Procure employees may access accounts for support, with regular audits.
Security Acknowledgment:
Content transmission may be unencrypted. Source and Procure is not liable for unauthorized access or data loss unless due to their negligence.
Equipment Maintenance:
You must maintain the necessary equipment and services for accessing Source and Procure’s services securely.
Merchant Obligations
Lawful Use:
Use Source and Procure’s services lawfully, complying with all relevant laws and policies.
Shipping Compliance:
Ensure your goods and documentation comply with legal requirements.
Goods Warranty:
Ensure your goods comply with laws and policies, and provide accurate information. Prohibited or dangerous goods are not allowed.
Import Compliance:
You are responsible for import compliance and costs. Source and Procure is not liable for import/export law violations.
Fraud Prevention:
You are responsible for fraud protection and related fees.
Fees and Payment
Fees:
Pay fees as outlined in the Pricing and Billing Policies.
Fee Changes:
Source and Procure may change fees with notice. Continued use indicates acceptance.
Pricing Estimates:
Estimates are based on available information and may change.
Taxes and Fees:
You are responsible for all taxes, chargebacks, and related fees.
International Taxes:
You are responsible for customs, duties, and transaction taxes on international shipments.
